1. Agreement to Terms

By accessing our website at nexumsystemltd.com, booking a consultation, or engaging Nexum System Limited for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These Terms apply to all visitors, clients, and anyone who accesses or uses our services.

2. About Nexum System Limited

Nexum System Limited is an AI automation company that designs, builds, and maintains AI-powered business systems for service businesses. Our services include AI receptionists, automated booking systems, client follow-up sequences, workflow automation, CRM integration, and related AI solutions tailored to each client's industry and operational needs.

3. Services

3.1 Free AI Audit

We offer a complimentary AI Audit to identify inefficiencies and opportunities in your business operations. This audit carries no obligation and no cost.

3.2 Setup Services

Upon signing a contract and paying the required deposit, Nexum System Limited will design and build your AI automation system according to the agreed package scope. Available packages vary by industry and business need — details are outlined in your individual service contract.

3.3 Monthly Retainer

Following go-live of your system, a monthly retainer is charged for ongoing system maintenance, monitoring, updates, and support. The retainer amount is confirmed in your service contract.

4. Payment Terms

4.1 Setup Fee

  • A deposit is due upon signing the contract — required before any build work commences
  • The balance is due upon go-live of your system
  • The exact deposit percentage and amounts are confirmed in your individual service contract
  • No build work begins until the deposit is confirmed

4.2 Monthly Retainer

  • Charged monthly beginning on the go-live date
  • Payable via Paystack
  • Late payments may result in service suspension after 7 days written notice

4.3 Refunds

  • The deposit is non-refundable once build work has commenced
  • If Nexum System Limited fails to deliver the agreed system, a full refund of all payments after deposit will be issued

5. Client Responsibilities

To enable Nexum System Limited to deliver your project, you agree to:

  • Provide timely access to required platforms and credentials
  • Respond to communications within 48 hours during the build phase
  • Review and approve work at each agreed milestone
  • Provide accurate business information required for system configuration
  • Maintain active subscriptions to third-party platforms required for your system

6. Intellectual Property

6.1 Nexum System Limited's Property

All systems, workflows, AI configurations, scripts, templates, and automation frameworks created by Nexum System Limited remain the intellectual property of Nexum System Limited. Clients are granted a licence to use these systems for the duration of their active engagement.

6.2 Client's Property

All client data, brand assets, and business information provided to Nexum System Limited remain the property of the client. We do not claim ownership of your data.

6.3 Upon Termination

Upon termination of services, the client's licence to use Nexum System Limited's proprietary workflows and configurations ends. Client data will be returned or deleted upon request within 90 days.

7. Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the engagement. This obligation survives termination of the agreement.

8. Service Levels

Nexum System Limited will use reasonable efforts to maintain:

  • 99% uptime on all live client systems
  • 4-hour response time to system issues or emergencies
  • 48-hour response time to general support requests

Planned maintenance will be communicated at least 24 hours in advance where possible.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Nexum System Limited is not liable for indirect, incidental, or consequential damages arising from the use of our services
  • Our total liability to any client shall not exceed the total fees paid by that client in the 3 months prior to the event giving rise to the claim
  • We are not liable for failures caused by third-party platforms (Twilio, VAPI, HubSpot, etc.) outside our control

10. Termination

10.1 By the Client

You may terminate your engagement with 14 days' written notice to support@nexumsystemltd.com. Monthly retainer fees accrued prior to termination remain payable.

10.2 By Nexum System Limited

We reserve the right to terminate services immediately in cases of:

  • Non-payment after 14 days' notice
  • Breach of these Terms
  • Conduct that is harmful to Nexum System Limited or its team

11. Changes to Services

Nexum System Limited reserves the right to modify, update, or discontinue any service with 30 days' written notice to active clients. We will make reasonable efforts to minimise disruption.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within 14 days, both parties agree to seek formal resolution through applicable legal proceedings.

13. Changes to These Terms

We may update these Terms of Service from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes via email.
